Pixovo Terms of Service & Content Policy

1.1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Individual Entrepreneur Vladimir Boldyrev, Legal Address: 38 Tbel Abuseridze St #63, Batumi 6000, Georgia ("Pixovo", "we", "us", or "our") and you ("User", "you", or "your") concerning your access to and use of the Pixovo AI image‑generation software‑as‑a‑service platform, websites, and related applications (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Content Policy and Privacy Policy, each incorporated herein by reference. If you do not agree, you must not access or use the Service.

1.2 Definitions

• "Account" – the credentials and profile created by or for a User to access the Service.
• "User Content" – images, text, or other data uploaded, transmitted, or otherwise provided to the Service by the User.
• "Generated Content" – output files (e.g., images or prompts) produced by the Service in response to User inputs.
• "Subscription Plan" – the then‑current plan tier selected by User (Free, Starter, Pro, or Business) describing usage limits, fees, and available features.

1.3 Eligibility & Account Security

1. You must be at least 16 years old (or the digital‑consent age in your jurisdiction, if higher) to create an Account. By registering, you represent and warrant that you meet this requirement.
2. You are responsible for safeguarding your login credentials. You must promptly notify us at support@pixovo.io of any actual or suspected unauthorized use of your Account. We are not liable for losses arising from unauthorized use.

1.4 User Content & Your Rights

1. Your Ownership. You retain all rights in your User Content. However, by submitting User Content to the Service, you grant Pixovo a non‑exclusive, royalty‑free, worldwide license to use, reproduce, and process such content solely to provide the Service.
2. Your Responsibility. You must ensure that your User Content does not violate our Content Policy, applicable law, or third‑party rights. You are solely responsible for any claims arising from your User Content.

1.5 Prohibited Uses

You may not use the Service to:

• Generate content that violates our Content Policy;
• Reverse‑engineer, decompile, or attempt to extract the underlying models or algorithms;
• Use automated scripts, bots, or similar tools to access the Service at scale without authorization;
• Resell, redistribute, or sublicense access to the Service;
• Violate any applicable laws or regulations.

1.6 Generated Content & Your Rights

1. Ownership. As between Pixovo and you, you own all rights (if any) we may have in the Generated Content, subject to these Terms.
2. Pixovo Internal License. You grant Pixovo a perpetual, non‑exclusive, royalty‑free license to use the Generated Content internally to improve our models and Service, and (with your prior written consent) to showcase examples for marketing or research purposes.
3. Your Responsibilities. Generated Content may be protected by copyright or other laws, or may depict real persons or brands. You must review all Generated Content and ensure your downstream use complies with all applicable laws, third‑party rights, and the Content Policy.

1.7 Subscription Plans & Usage Limits

Unused monthly allocations do not roll over. Pixovo may update Plan limits or pricing at any time with 30 days' notice by email or in‑Service message. Continued use after the notice period constitutes acceptance.

1.8 Payments, Taxes & Refunds

1. Payment Processor. All fees are collected by Paddle.com Market Ltd. ("Paddle"), which acts as Merchant‑of‑Record. Your purchase is subject to Paddle's own Terms and policies.
2. Billing Cycle & Auto‑Renew. Plans are billed in advance on a monthly or annual basis and automatically renew unless you cancel before the renewal date. You may cancel at any time through your Paddle customer portal or by emailing billing@pixovo.io.
3. Taxes. Prices are exclusive of value‑added tax (VAT), goods‑and‑services tax (GST), or similar indirect taxes. Paddle will calculate, collect, and remit applicable taxes based on your billing address.
4. 14‑Day Guarantee. First‑time subscribers may request a full refund within 14 days of initial purchase by contacting billing@pixovo.io. After this period, fees are non‑refundable except as required by law.

1.9 Service Availability & Support

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Planned maintenance will be announced in advance when possible. Support is provided via email at support@pixovo.io with response times varying by Plan.

1.10 Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Service will cease, and we may delete your Account and Generated Content after a reasonable grace period. Sections relating to intellectual property, liability, and dispute resolution will survive termination.

1.11 Intellectual Property

The Service, including all software, models, and branding, is owned by Pixovo and protected by copyright, trademark, and other laws. Except for the limited rights expressly granted herein, no license or right is granted to you by implication or otherwise.

1.12 Warranty Disclaimer

THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR RESULTS FROM USE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.

1.13 Limitation of Liability & Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXOVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF PIXOVO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PIXOVO'S TOTAL, CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PIXOVO FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

1.14 Indemnification

You agree to indemnify, defend, and hold harmless Pixovo, its officers, directors, and affiliates, from and against any third‑party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your (a) User Content; (b) use or misuse of the Service; or (c) breach of these Terms or applicable law.

1.15 Governing Law & Dispute Resolution

These Terms are governed by the laws of Georgia, without regard to its conflict‑of‑laws principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the competent courts of Batumi, Georgia, and you consent to the personal jurisdiction of such courts. Optionally: The parties may mutually agree in writing to submit a dispute to arbitration under the Georgian Arbitration Act.

1.16 Modifications to Service & Terms

We may modify the Service or these Terms at any time. If we make material changes, we will notify you by email or in‑Service message at least 30 days before they take effect. Your continued use after the effective date signifies acceptance.

1.17 Severability & Entire Agreement

If any provision of these Terms is held unlawful or unenforceable, the remaining provisions will remain in effect. These Terms, together with the Content Policy and Privacy Policy, constitute the entire agreement between you and Pixovo regarding the Service and supersede all prior agreements.

2.1 Scope & Purpose

This Content Policy defines what you may and may not generate or upload using the Service. It applies to all Users and all content, including User Content and Generated Content.

2.2 Prohibited Content Categories

You may not use the Service to create, upload, or generate:

• Illegal Content: Content that violates applicable laws, including but not limited to child exploitation, terrorism, or criminal activity.
• Harassment & Abuse: Content targeting individuals or groups with threats, doxxing, or coordinated harassment.
• Adult Content: Sexually explicit imagery, pornography, or content primarily intended for sexual arousal.
• Violence & Gore: Graphic depictions of violence, torture, or death.
• Hate Speech: Content promoting discrimination, hostility, or violence against protected groups.
• Deceptive Content: Deepfakes, misleading political content, or impersonation without consent.
• Spam & Malware: Unsolicited bulk content or malicious software.

2.3 Sensitive Content Rules

The following content requires special care:

• Public Figures: You may generate images of public figures for editorial, educational, or parody purposes, but not for commercial endorsements without permission.
• Minors: Do not generate images of real minors (under 18) without parental consent.
• Medical & Health Claims: Do not generate content making unsubstantiated medical claims.

2.4 Copyright & Intellectual‑Property Guidelines

Respect intellectual property rights:

• Do not generate content that directly copies copyrighted works (logos, characters, artwork) without permission.
• Be mindful of trademark usage in commercial contexts.
• If you believe your IP rights have been infringed, contact legal@pixovo.io.

2.5 Enforcement & Reporting

We reserve the right to review, remove, or restrict access to any content that violates this Policy. Enforcement actions may include:

• Content removal or blocking
• Account warnings or suspensions
• Permanent account termination for severe or repeated violations
